Terms and Conditions of NordStellar Referral Program

nordvpn S.A. (registered at PH F&F TOWER, 50th Street & 56th Street, Suite #32-D, Floor 32, Panama City, Republic of Panama; “we“, “us“, “Nord“) offers its users (“users”) the opportunity to earn a reward by referring the company they are employed at to try NordStellar services.

NordStellar is a threat exposure management platform for business, developed by Nord Security Inc. (registered at Americas Towers, 1177 6th Avenue, 5th FLR, New York, NY 10036, United States of America). NordStellar enables companies to detect and respond to cyber threats before they escalate. These Terms and Conditions (“Terms”) govern participation in the NordStellar Referral Program (“Program“). By participating in the Program, users agree to comply with these Terms and any additional guidelines or requirements specified by Nord.

**Note: If you do not agree to these Terms in their entirety, please do not participate in the Program. **

Program Duration and Administration

The Program is valid until February 16, 2025, unless earlier terminated or extended.

The Program is administered by Nord. Nord reserves the right to modify these Terms, suspend, or terminate the Program at any time at its sole discretion.

Voluntary Participation

Participation in the Program is entirely voluntary. Users are not obligated to take part and may withdraw their participation at any time.

Eligibility

The Program is available to the users worldwide. However, participation in the Program is subject to compliance with the laws and regulations of your country or state of residence. If local laws or regulations impose restrictions on participation in such programs, you must refrain from participating.

A user who refers the company they are employed at to the Program is a “Referrer“; the company being referred is a “Referred Customer“.

To be eligible, the Referrer confirms, represents, and warrants to Nord that they:

  • Are at least 18 years of age.
  • Have an existing, valid, and paid subscription of Nord services with a valid (non-expired) Nord Account.
  • Are employed by the company they are referring.

When registering for the Program, Referrers must use the same email address associated with their existing Nord Account. Nord reserves the right to verify the eligibility of Referrers based on the above criteria.

Employees of Nord, its subsidiaries, affiliates, and parent companies are not eligible to participate in the Program.

Qualified Referral

A “Qualified Referral” is a referral that fulfills all of the following conditions:

  • The Referrer may only refer the company they are employed at.
  • The Referrer must submit the official business email address of the contact person at the Referred Customer (personal email addresses are not permitted).
  • The Referred Customer must be a first-time customer of NordStellar (i.e. have not previously signed up for NordStellar services) and eligible to create a NordStellar business account.
  • The Referred Customer must sign up for NordStellar services for a minimum term of twelve (12) months.

Verification and Acceptance

Acceptance of a referral as a Qualified Referral is subject to verification by Nord. This includes confirmation that the Referred Customer and its contact person meet the eligibility requirements outlined in these Terms and comply with all applicable laws and regulations.

Nord reserves the right, at its sole discretion, to decline any referral for any reason and at any time. Nord is not obligated to disclose to the Referrer the reasons for the referral being deemed ineligible or not qualifying as a Qualified Referral.

How it Works

To participate in the Program, Referrers must follow the instructions provided in the email invitation and submit the required contact information for the Referred Customer in the designated fields.

If the referral meets all the conditions for a Qualified Referral, as defined in these Terms, the Referrer will receive a reward of $1,000 USD for each successful referral. Upon receipt of the necessary bank account details, a reward will be paid via bank transfer within 30 (thirty) calendar days.

Note: Referrers may receive only one reward for each verified Qualified Referral, regardless of the number of subsidiaries, affiliates, or parent companies associated with the Referred Customer. In cases where Nord receives multiple referrals regarding the same Qualified Referral (or its subsidiaries, affiliates, or parent companies), the reward will be granted solely to the Referrer who submitted the first eligible referral that complies with these Terms.

The reward may be subject to taxation in accordance with the local tax laws applicable to the Referrer. Referrers are solely responsible for reporting the reward to the relevant tax authorities and for paying any taxes, levies, or other contributions arising from the reward payment. Nord is not responsible for withholding or remitting any taxes on behalf of the Referrer.

Fraudulent and Suspicious Behavior

While Nord is the actual sender of the referral email, each Referrer must nonetheless comply with applicable law, including anti-spam and privacy laws. Referrers who do not comply with the law are obligated to indemnify Nord and all of the released parties (as described below) against any liabilities, costs and expenses incurred as a result of such violation.

Referrers must comply with all applicable laws, including but not limited to anti-spam and privacy regulations, even though Nord is the sender of the referral email. Referrers who violate any applicable laws are solely responsible for indemnifying Nord and its affiliates, subsidiaries, and parent companies against any liabilities, costs, or expenses incurred as a result of such violations.

Nord maintains a strict no-tolerance policy against spam. Any of the following practices are strictly prohibited:

  • Sending spam or bulk referrals.
  • Distributing referral communications to strangers.
  • Using purchased or harvested referral lists.
  • Engaging in fraudulent or deceptive promotion of the Program.
  • Utilizing misleading, harassing, or otherwise inappropriate referral/Program communication practices.

Attempts to use the Program in violation of these Terms, engage in questionable or unlawful behavior, or breach any applicable laws or regulations may result in the immediate exclusion of the Referrer from the Program. In cases of severe misconduct, Nord reserves the right to terminate the Referrer’s Nord Account.

If a Referred Customer’s email address has previously opted out of receiving Nord’s marketing emails, a referral email will not be sent to that address. Nord is not obligated to notify the Referrer about the status of email delivery to Referred Customers.

Referrers are prohibited from using multiple or fake email addresses, fictitious identities, or fraudulent accounts to participate in the Program or claim rewards. Nord reserves the right, at its sole discretion, to disqualify any Referrer from the Program or deny rewards if it determines that the Referrer has attempted to undermine the fairness, integrity, or legitimate operation of the Program through cheating, hacking, deception, or any other improper practices, or has otherwise violated these Terms.

Privacy

Participation in the Program requires Referrers to submit personal data about themselves and the representative (contact person) of the Referred Customer. The following types of personal data may be collected and processed:

  • Referrer Information: Full name, email address (associated with the Referrer’s Nord Account), and, in the case of a successful referral, payment method details. This information is needed to administer and manage the Program, including verifying eligibility for rewards.
  • Referred Customer Information: Full name, position name, business email address of the contact person at the Referred Customer, as submitted by the Referrer. This information is needed to reach out to the Referred Customer on the Referrers’ behalf.

To operate the Program, Nord will share certain personal data as necessary:

  • With NordStellar: The business email address of the Referred Customer’s contact person will be shared with NordStellar to facilitate the onboarding and verification process for Referred Customers.
  • With Third-Party Service Providers: Nord may share Referrer and Referred Customer data with trusted third-party service providers, such as payment processors and email delivery platforms, solely for purposes related to administering the Program.

Each Referrer represents and warrants that they will only provide personal data that has been lawfully obtained. This includes obtaining any necessary consent from the Referred Customer’s contact person and informing them about the Program and these Terms.

In line with its commitment to privacy and transparency, Nord will:

  • Comply with any written request from the Referred Customer or the representative itself to delete such representatives’ personal data.

Indemnification and Liability Release

Except where prohibited by law, you agree to indemnify, release, and hold harmless Nord, its parent companies, affiliates, subsidiaries, and their respective employees, as well as any person or entity involved in the creation, operation, or administration of the Program, from any and all claims, liabilities, damages, costs, or expenses of any kind (including third-party claims, whether pending or threatened), arising out of or related to your participation in the Program or any breach of these Terms. This indemnification includes, but is not limited to, attorneys’ fees and court costs incurred by Nord or the released parties.

Note: Nord does not guarantee or make any specific commitments regarding the Program, including its functionality, reliability, availability, or suitability for your needs. To the extent permitted by applicable law, Nord disclaims all warranties, whether express, statutory, or implied.

IN NO EVENT SHALL NORD, ITS AFFILIATES, SUBSIDIARIES, OR PARENT COMPANIES BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES OF ANY KIND, INCLUDING BUT NOT LIMITED TO LOST PROFITS OR COMMISSIONS FROM LOST SALES, WHETHER OR NOT NORD HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THIS LIMITATION OF LIABILITY APPLIES TO ANY CLAIMS ARISING FROM YOUR PARTICIPATION IN THE PROGRAM OR THESE TERMS.

Governing Law and Contact Information

These Terms are governed by the law of Panama. Notwithstanding the foregoing, in compliance with the Electronic Commerce Directive (2000/31/EC) the accurate laws of the Participant’s country of residence will apply for consumers’ protection purposes.
